Jeff has 30 years of professional experience in accounting and finance up to and including public company CFO and CAO roles. In addition to experience supporting IPOs, he has also led the finance and accounting functions of early stage technology startups as VP Finance, Director of Finance or Controller. In recent years, Jeff has focused on providing interim CFO and/or Controller (or the functional equivalent) services for private and public companies. His industry background experience includes SaaS, software, homebuilding and manufacturing. Jeff has also provided M&A transaction support over his career and can help with due diligence, transaction support and post-close transition. He has expertise in SEC reporting, debt and equity fundraising, stock-based compensation accounting, SOX implementation, GAAP technical accounting research and white papers, internal audit and distressed asset restructuring.
Jeff can help organizations shop, obtain and negotiate debt financing terms sheets from bank and capital market providers. He has recent experience with Chapter 11 preparation including DIP financing and budgeting.
As the Director of Accounting at Eloqua Inc during their IPO, Jeff led the drafting of the S-1 and 8 amendments, the implementation of the SOX internal control framework, the evaluation and selection process for international banking and treasury management services, established the corporate governance and investor relation websites, and drafted the stock based compensation disclosures. Jeff was also the CAO and then the CFO for a publicly held Virginia homebuilding company and prepared forms 10-K, 10-Q, 8-K, section 16 filings and the annual proxy statement. He also supervised the stock-based compensation program, FP&A function, payroll, treasury, tax, investor relations, SOX, external audit and HR.
